JibJab: acquired by Mode Mobile, Inc. (Mode, BizBuyData)

Up to $29.5 million in merger consideration: $15.5 million in cash at closing (subject to a working-capital adjustment), 23,076,923 shares of Mode's Class AAA common stock that the parties valued at $0.52 each (about $12 million), and a $2 million cash indemnification holdback payable about twelve months after closing. Merger agreement signed and closed on 20 August 2026 with JibJab Catapult CA, Inc. and its majority shareholder Catapult CA QOF, LLC. The filing describes JibJab as a consumer app that puts users' faces into animated videos, GIFs and e-cards, with about $18 million of revenue a year; it says Mode will add its EarnOS rewards engine and does not say that Mode buys data from JibJab. Fast Company's 29 October 2026 report, which frames the deal as part of a consumer-data roll-up, was not opened.
